Scope and definitions

These terms apply to the Scribe by Swalent service, published by Swalent (Edmond Ivanov), Rue de la Limite 60, 1970 Wezembeek-Oppem, Belgique ("Swalent", "we"). Full details are in the legal notice.

"Consumer": a natural person using Scribe for purposes outside their trade or profession. "Professional": anyone else, including a self-employed person or a business using Scribe for its activity.

By creating an account, you accept these terms, the privacy policy and, for your content, the data processing agreement. If you act for a business, you confirm you can bind it.

The service

Scribe records or receives audio and video, has them transcribed by the AI provider you choose, draws documents from them (minutes, chapters, translations, knowledge entries), and keeps everything in a library you can open on the web, on Android and on Windows.

The Android and Windows apps are early versions: features may be missing, change or not work properly.

The service evolves. We may add, change or remove features. If a change removes an essential feature of your subscription or harms you more than marginally, we tell you in advance and you may cancel at no cost, with a refund of the unused period.

Your account

Sign-in uses a Google account. You must be at least 16.

An account belongs to one person. You are responsible for what is done with it and with the devices you link to it, and must tell us without delay if someone else uses it.

Your provider keys

Scribe runs on your own AI keys. You conclude a contract directly with each provider (ElevenLabs, Mistral, AssemblyAI, OpenAI, Anthropic, Google), accept its terms, and it bills you directly. Swalent is not a party to that contract.

Swalent adds no margin to these costs and does not collect them. The amounts Scribe shows are estimates; only the provider’s invoice counts.

You are responsible for your keys, each provider’s terms, its data retention rules and the spending caps you set with it. You can remove a key at any time.

Recording other people: your obligations

You alone are responsible for the lawfulness of every recording, import and processing you carry out with Scribe. In particular, you warrant that:

  • you informed each person recorded before recording and, where the law requires it, obtained their consent;
  • you have a legal basis under the GDPR to process their data and you answer their requests for access, erasure or objection;
  • you record no conversation you do not take part in without the consent of everyone speaking, which is an offence (Belgian Criminal Code, art. 314bis);
  • you comply with the confidentiality obligations that apply to a confidential meeting (non-disclosure agreement, board meeting, negotiation, proceedings);
  • if you are bound by professional secrecy (doctor, lawyer, psychologist, other profession), you record a consultation only with the explicit consent of the patient or client and within your professional rules (Belgian Criminal Code, art. 458; GDPR, art. 9);
  • you have the right to download and have processed any media imported or fetched through a link.

Swalent does not monitor your recordings and is not liable for their lawfulness. The "Tell them" feature of the Windows app helps you inform participants; it does not replace your obligations.

These obligations prevail over any commercial presentation of the service: nothing in an advertisement or on the presentation page releases you from informing the people recorded or from complying with the law.

What is not allowed

  • Recording or processing content in breach of the law or of other people’s rights, including copyright and privacy.
  • Using Scribe to monitor someone without their knowledge.
  • Attacking, overloading or testing the security of the service without our written consent.
  • Getting around the service’s limits, reselling access or sharing an account.

Your content

Your recordings, transcripts and documents belong to you.

You only grant us the right to host, process, send to the provider you choose, display and back up your content, for the sole purpose of providing the service. This right ends when the content or the account is deleted, subject to the backups described in the privacy policy.

We do not use your content to train any AI model, and we do not read it, except at your request, for a security incident or where the law requires it.

What the AI produces

Transcripts, minutes, chapters, translations and knowledge entries are produced automatically by AI models. They may omit, distort or invent things, attribute words to the wrong person, or get a name or a figure wrong.

They are not certified minutes, nor legal, medical, financial or professional advice. You must review them before relying on them, sharing them or making a decision based on them.

Prices and payment

Payment is not open yet. Until then, access is free, by invitation, and may be limited or withdrawn at any time. The clauses on price, cancellation and withdrawal apply once payment opens.

The "Your keys" subscription costs 6.99 EUR per month. The price and what it includes, storage among it, are shown before purchase. Special exemption scheme for small enterprises: no VAT is charged, the price shown is the price paid.

Payment goes through Stripe. The subscription renews automatically each period, charged at the start of the period. An invoice is available for each payment.

A price change is announced by email at least 30 days in advance, applies from the next period, and leaves you time to cancel.

Cancelling, and what happens next

You can cancel at any time, in one click, in Settings, Account. The subscription stops at the end of the paid period, at no further cost. The current period is not refunded, except where the law or these terms provide otherwise.

When the subscription ends, the account is read-only for 30 days: you can read and export your content, but not create any. The account is then deleted. We write to you at cancellation with the export link, 7 days before deletion, then 24 hours before, and a banner in the app reminds you. Resubscribing during these 30 days cancels the deletion.

Right of withdrawal (consumers)

If you are a consumer, you may withdraw within 14 days of subscribing, without giving a reason and at no cost other than as stated here (Belgian Code of Economic Law, art. VI.47 and following).

The subscription gives access to the service straight away. At payment, two unticked boxes ask you:

  • I ask for my Scribe subscription to start immediately, during the 14-day withdrawal period.
  • I acknowledge that if I withdraw, I will pay the amount corresponding to the service provided until my withdrawal, and that I lose my right of withdrawal once the contract has been fully performed.

If you withdraw within the 14 days after asking for this immediate start, we refund you within 14 days, by the same means of payment, minus the amount proportional to the service provided until withdrawal (art. VI.51 §3). Without that request, nothing is withheld.

To withdraw: the "withdraw from contract here" function in Settings, Account, or a message to contact@swalent.com, for example: "I withdraw from my Scribe subscription taken out on [date], in the name of [name], account email address [address]." We acknowledge receipt immediately by email.

Conformity (consumers)

If you are a consumer, you benefit from the legal guarantee of conformity for digital services for the whole subscription (former Belgian Civil Code, art. 1701/1 to 1701/19). If the service does not conform, you can ask for it to be brought into conformity, then for a price reduction or termination. Nothing in these terms limits this guarantee.

Beyond this guarantee and the right of withdrawal, we offer no money-back guarantee.

Availability and backup

We do our best to keep Scribe available and your data backed up, without guaranteeing an uninterrupted service: maintenance or an outage at a provider or at your AI provider may interrupt it.

Scribe is not an archiving service. Keep your own copy of what matters, using the export.

Liability towards a professional

If you use Scribe in a professional capacity, to the fullest extent permitted by law:

  • our total liability, for all causes combined, is limited to the amounts you paid us in the 12 months before the event causing the damage;
  • we are not liable for indirect or consequential damage, including loss of revenue, profit, customers or opportunity, business interruption or harm to reputation;
  • we are not liable for loss or corruption of data beyond restoring the latest available backup;
  • we are not liable for errors, omissions or inventions in AI-produced content, nor for decisions made on its basis.

These limits do not apply to our fraud or gross fault, to harm to life or physical integrity, or to non-performance of our essential commitments (Belgian Civil Code, art. 5.89 §1; Code of Economic Law, art. VI.91/5, 4° and 6°).

Liability towards a consumer

If you are a consumer, we are liable for damage caused by a breach of our obligations, under the general law. Nothing in these terms excludes or limits our liability for our fraud or gross fault, for non-performance of a main obligation except force majeure, for death or bodily injury, or your legal guarantee of conformity (Code of Economic Law, art. VI.83, 13°, 14° and 25°).

The service consists of producing automatic content whose accuracy is not guaranteed, as described above. We are not liable for AI providers acting under your own contract, nor for a recording made in breach of your obligations towards the people recorded.

If a third party claims against us because of you

Professional: you hold us harmless and indemnify us against any claim, penalty, judgment and reasonable defence costs, lawyers’ fees included, arising from a breach of your obligations towards the people recorded, of the GDPR or of these terms. We tell you of the claim without delay and let you take part in the defence.

Consumer: you are liable, under the general law, for the damage your breach of these terms or of the law causes us, in particular a recording made without informing the people concerned.

Suspension and termination

We may suspend or close an account that breaches these terms or the law, after warning you and giving you reasonable time to put it right, except in an emergency (security, clearly unlawful content, request from an authority). If we close a paid account through no fault of yours, we refund the unused period.

You can delete your account at any time in Settings, Account. Deletion takes place 7 days after the request, and the subscription is stopped.

Entire agreement and severability

These terms, the privacy policy and the data processing agreement are the entire agreement between you and Swalent on Scribe. For a professional, they replace any earlier presentation, advertisement or exchange. For a consumer, public statements about the characteristics of the service form part of the conformity owed (former Belgian Civil Code, art. 1701/6 §1, 2°), and this clause does not limit their means of proof.

In no case does a commercial presentation reduce your obligations towards the people recorded.

If a clause is held void or unenforceable, the others remain in force. Between professionals, it is replaced by the valid clause closest to its purpose. Towards a consumer, it is simply set aside.

Changes to these terms

We tell you by email at least 30 days before any significant change. If you do not accept it, you can cancel before it applies, with a refund of the unused period.

Governing law and disputes

These terms are governed by Belgian law. A consumer keeps the protection of the mandatory rules of the country where they live and may bring proceedings before the courts of their home. Between professionals, the courts of Brussels have exclusive jurisdiction.

If we disagree, write to us first at contact@swalent.com. A consumer may then turn free of charge to the Belgian Consumer Mediation Service, boulevard du Roi Albert II 8 box 1, 1000 Brussels, mediationconsommateur.be.
